Raising Finance

Debt Finance

Money does not grow on trees!  We understand the need for businesses to source funding, whether it is for cash flow purposes or to fund an acquisition or asset purchase.  The consequences of raising cash through debt can be complex depending upon which type of arrangement you enter into.

Most banks will not advance cash without some form of collateral.  This can take the form of the following:

a.      Debentures

b.      Legal Charges/Mortgages

c.      Fixed & Floating Charges

d.      Inter Company Guarantees

e.      Inter Creditor Deeds (Deeds of Priority)

f.       Deed of Postponement of Loans

We are experienced in advising on all forms of Loan Facilities including overdrafts, term loans, invoice discounting (Factoring) and revolving credit facilities.

External Investment

a.       business angels

b.       private equity/venture capital

c.       corporate venturing

d.       joint ventures

We recognise that sometimes, Debt Finance may not be the best option for you or your business.  Whether it is because your business has insufficient assets to act as collateral, because you have insufficient assets to give a personal guarantee, or because the economic climate means that debt funding is too expensive or too volatile, we have the contacts and the “know how” to assist you in securing alternative funding.

We get involved right from the start and work hard to prepare your business to give you the best chance of success in securing investment.  We will lead you through the negotiations with investors, deal with the collation of due diligence, advise you on the documentation and most importantly, endeavour to get the right deal for you.

Sometimes it may be more practical join forces with another business under a joint venture arrangement.  We have the experience to advise you on all types of venturing from a co-operation agreement to the setting up of a bespoke new join venture company.  We will guide you through the traps and complexities that are frequently encountered in such arrangements and aim to arrive at an agreement that suits you and the needs of your business.
